1About YBOATS and These Terms

YBOATS Management Services LLC ("YBOATS," "we," "our," or "us") provides digital tools designed to help yacht owners, captains, crew members, managers, vendors, and other maritime professionals organize yacht operations. "Platform" means the YBOATS applications, websites, public pages, links, software, content, and related services that we make available.

These Terms form a binding agreement between YBOATS and the person or entity using the Platform. If you use the Platform for a vessel, company, employer, owner, or other organization, you represent that you have authority to accept these Terms for that organization. In that case, "you" includes both you and that organization.

2Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement. You may not use the Platform if applicable law prohibits you from doing so. Additional eligibility, identity-verification, geographic, banking, or compliance requirements may apply to payment and transfer features.

3Services

The Platform may provide features for maintenance and service tracking, invoices and expenses, vessel documents, regulatory records, reports, tasks, reminders, crew and vendor information, internal communications, guest access, weather information, radar, maps, artificial-intelligence assistance, photos and document scanning, notifications, Crew Tips, payment processing, and related operational tools. Features may vary by account, device, location, operating system, legal requirements, or third-party availability.

YBOATS provides software and information-management tools. Unless expressly stated in a separate written agreement, YBOATS does not perform vessel maintenance, navigation, surveying, engineering, legal, accounting, tax, employment, payroll, banking, money-transmission, fiduciary, investment, or emergency services.

4Accounts and Security

You must provide accurate, current, and complete information and keep it updated. You are responsible for protecting your credentials, devices, authentication methods, and access codes, and for activity conducted through your account to the extent permitted by law. Notify us promptly at support@yboatsmanagement.com if you suspect unauthorized access or a security incident.

You may not share credentials in a way that defeats account controls, impersonate another person, create deceptive accounts, or allow an unauthorized person to use your role. We may require identity or authority verification before granting access, restoring an account, changing sensitive information, or enabling financial features.

5Roles Administrators Guests and Invitations

Account owners and administrators may invite users, assign roles, grant permissions, and control access to vessel information. The person granting access is responsible for confirming that each recipient is authorized and receives only appropriate permissions. Invited and guest users must use access solely for the authorized purpose and must not share invitation links or codes.

Administrators may be able to view, manage, export, correct, restrict, or remove content associated with their organization or vessel. Your access may depend on an administrator, employer, captain, owner, or other account controller. YBOATS is not responsible for disputes regarding internal authority, crew roles, employment, vessel ownership, or organizational access decisions.

6User Content and Operational Records

You retain ownership of information and materials you submit, upload, create, or store through the Platform, including vessel records, invoices, photographs, documents, messages, crew information, vendor information, and operational logs ("User Content").

You grant YBOATS a worldwide, non-exclusive, limited license to host, store, reproduce, process, transmit, display, format, analyze, and create technical derivatives of User Content only as reasonably necessary to operate, secure, support, improve, and comply with law in connection with the Platform. This license ends when the content is deleted from our active systems, subject to reasonable backup cycles, legal obligations, dispute preservation, fraud prevention, and the Privacy Policy.

You represent that you have all rights and permissions necessary to provide User Content, including information concerning crew members, guests, vendors, owners, and other individuals. You are responsible for the accuracy, legality, and appropriateness of User Content and for obtaining any required notices or consents.

7Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. The Privacy Policy is incorporated into these Terms by reference and is available at https://yboats.co/privacy-policy. By using the Platform, you acknowledge the practices described in the Privacy Policy.

8Crew Tips

Use of Crew Tips is also governed by the Crew Tips Terms of Service available at https://yboats.co/crew-tips-terms. Those terms are incorporated into these Terms by reference. If there is a conflict concerning Crew Tips, payments, fees, connected accounts, transfers, distributions, refunds, disputes, or chargebacks, the Crew Tips Terms of Service control for that subject.

Crew Tips may allow authorized users to create tip pools, share payment links or QR codes, collect payments, allocate net amounts among selected recipients, and initiate transfers to eligible connected accounts. Pool organizers are responsible for the accuracy of recipient names, allocations, roles, contact information, and distribution instructions.

9Payments Stripe and Connected Accounts

Payment processing, identity verification, connected-account onboarding, balances, transfers, refunds, disputes, reserves, and payouts may be provided by Stripe or another third-party payment provider. Use of those services is subject to the provider's applicable agreements, privacy notices, restrictions, and verification requirements, including the Stripe Services Agreement and Stripe Connected Account Agreement where applicable.

YBOATS is not a bank and does not hold itself out as a bank, escrow agent, trustee, fiduciary, payroll provider, or financial adviser. The availability and timing of funds depend on payment-provider processing, settlement, risk review, account eligibility, banking networks, holidays, disputes, reserves, legal requirements, and other factors outside YBOATS' control.

You authorize YBOATS and its payment providers to calculate, display, deduct, or facilitate disclosed fees and adjustments. Amounts displayed before final settlement may be estimates. Actual processing fees, refunds, disputes, chargebacks, reversals, currency conversion, or provider adjustments may change the net distributable amount. You are responsible for reviewing transaction details before authorizing an action.

10Fees Taxes Refunds and Disputes

Applicable service fees, processing fees, and other charges will be disclosed through the Platform or applicable Crew Tips terms. Unless required by law or expressly stated otherwise, fees already earned or incurred are non-refundable. Payment providers may deduct their charges directly from transaction proceeds.

Users are responsible for taxes, reporting, withholding, employment obligations, gratuity treatment, and other legal obligations arising from payments or distributions. YBOATS does not provide tax or employment advice and does not determine whether a recipient is an employee, contractor, agent, or other category.

Refunds, disputes, chargebacks, reversals, negative balances, or payment-provider claims may reduce available funds or create an amount owed. We may pause or restrict transfers while a transaction is under review or while reasonably necessary to prevent fraud, comply with law, or address a payment-provider requirement.

11Artificial Intelligence Features

The Platform may use artificial intelligence, optical character recognition, automated extraction, or similar technology to summarize information, read documents, suggest entries, answer questions, or assist with operational tasks. AI-generated or automatically extracted content may be incomplete, outdated, inaccurate, or inappropriate for a particular situation.

You must independently review outputs before relying on them. AI features do not replace the judgment of a captain, engineer, technician, surveyor, attorney, accountant, medical professional, weather service, navigation system, manufacturer, classification society, flag administration, or regulatory authority. Do not use AI outputs as the sole basis for safety-critical, navigational, mechanical, legal, financial, medical, or emergency decisions.

12Weather Maps Navigation and Safety

Weather forecasts, radar, maps, alerts, wind, wave, storm, route, or location information may originate from third parties and may be delayed, incomplete, unavailable, or inaccurate. YBOATS is not an official weather service, chart provider, navigation system, distress service, or substitute for required bridge equipment, nautical publications, local notices, or professional seamanship.

The vessel master and responsible personnel remain solely responsible for voyage planning, navigation, watchkeeping, vessel safety, regulatory compliance, and decisions affecting persons, property, and the environment. Always verify information using official and appropriate maritime sources and equipment.

13Photos Documents Scanning and Uploads

When you choose to upload a photograph, invoice, document, or media file, the Platform may process it to store records, extract text, organize information, or generate reports. You must review extracted information and correct errors before using it. Do not upload content you are not authorized to possess or disclose, or content containing unnecessary sensitive information.

14Communications and Electronic Records

You consent to receive service-related communications electronically, including email, in-app messages, push notifications, security notices, payment notices, account notices, document reminders, and updated legal terms. You may manage optional notifications in the Platform or device settings, but essential transactional, security, or legal communications may still be sent.

You agree that electronic acceptance, records, notices, and communications may satisfy legal requirements for written documents and signatures to the extent permitted by law. You are responsible for maintaining a current email address and the ability to retain electronic records.

15Third Party Services and Links

The Platform may integrate with or link to services provided by Stripe, mapping and weather providers, cloud hosting services, analytics and communications providers, mobile operating systems, app stores, and other third parties. Third-party services are governed by their own terms and privacy practices. YBOATS does not control and is not responsible for third-party services, content, security, accuracy, availability, decisions, or acts.

16Acceptable Use

You may use the Platform only for lawful, authorized purposes. You must not:

• •Use the Platform for fraud, money laundering, sanctions evasion, deceptive payments, unlawful gratuities, or other illegal activity.
• •Access or attempt to access accounts, vessels, data, systems, or features without authorization.
• •Misrepresent identity, authority, vessel affiliation, payment purpose, crew status, recipient eligibility, or transaction information.
• •Upload malware, harmful code, unlawful content, or material that infringes privacy, confidentiality, intellectual-property, or other rights.
• •Interfere with security, availability, authentication, rate limits, logging, or payment controls.
• •Scrape, reverse engineer, copy, resell, sublicense, or commercially exploit the Platform except as expressly permitted by law or written authorization.
• •Use automated systems in a manner that creates unreasonable load, bypasses controls, or harms other users.
• •Use AI, communications, guest links, or payment features to harass, deceive, impersonate, or harm another person.

17Intellectual Property and Platform License

YBOATS and its licensors own the Platform, software, interfaces, branding, logos, designs, documentation, databases, and related intellectual property, excluding User Content. Subject to these Terms, YBOATS grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Platform for its intended business or personal purpose.

No rights are granted except those expressly stated. Feedback or suggestions may be used by YBOATS without restriction or compensation, provided we do not publicly identify you as the source without permission.

18Mobile Applications and App Stores

If you download the Platform through an app store, the app store's terms also apply. The app store is not responsible for providing support or maintenance for YBOATS except as required by its own rules. You must comply with applicable device, operating-system, carrier, and app-store requirements.

19Updates Beta Features and Changes to the Service

We may add, modify, test, limit, suspend, or discontinue features, including beta or experimental features. Updates may be required for security, compatibility, legal compliance, or continued operation. Beta features may be less reliable and are provided for evaluation unless otherwise stated.

20Service Availability and Data Export

We work to maintain reliable service but do not guarantee uninterrupted, error-free, or permanently available access. Maintenance, internet or cellular outages, third-party failures, cyber incidents, force majeure events, software errors, legal requirements, or other circumstances may affect availability.

You should maintain independent copies of records needed for vessel operations, safety, compliance, accounting, insurance, employment, or legal purposes. Where available, export tools are provided for convenience and do not replace appropriate onboard, corporate, or legally required recordkeeping.

21Compliance With Laws and Sanctions

You are responsible for complying with applicable maritime, employment, tax, privacy, payment, export-control, sanctions, anti-money-laundering, anti-bribery, consumer-protection, and other laws. You may not use the Platform in or for the benefit of any prohibited jurisdiction, person, entity, vessel, or activity. We may restrict access or request information when reasonably necessary for compliance.

22Suspension and Termination

You may stop using the Platform at any time. Account-deletion options and data requests are subject to the Privacy Policy, applicable administrator controls, legal obligations, transaction records, payment disputes, and reasonable retention requirements.

We may suspend, restrict, or terminate access if we reasonably believe you violated these Terms, created security or legal risk, engaged in fraud or misuse, failed required verification, caused a negative payment balance, or if a third-party provider or law requires action. Where appropriate, we will provide notice and an opportunity to address the issue.

Termination does not eliminate obligations or liabilities arising before termination. Provisions that by their nature should survive will survive, including provisions concerning ownership, payments, disputes, disclaimers, liability, indemnification, and governing law.

23Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." YBOATS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT. YBOATS DOES NOT WARRANT THAT THE PLATFORM OR ANY CONTENT, AI OUTPUT, WEATHER DATA, MAP, ALERT, REPORT, PAYMENT STATUS, OR THIRD-PARTY SERVICE WILL BE ACCURATE, COMPLETE, CURRENT, SECURE, UNINTERRUPTED, OR ERROR-FREE.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent permitted by law.

24Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YBOATS AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OPPORTUNITY, OR USE, ARISING FROM OR RELATED TO THE PLATFORM, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YBOATS' TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF YBOATS SERVICE FEES YOU PAID TO YBOATS DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). PAYMENT-PROCESSOR FEES, TIP PRINCIPAL, AND AMOUNTS TRANSFERRED TO RECIPIENTS ARE NOT YBOATS SERVICE FEES.

These limitations do not apply where prohibited by law and do not limit liability that cannot lawfully be excluded or limited.

25Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless YBOATS and its officers, members, employees, contractors, affiliates, and licensors from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys' fees arising from your User Content, misuse of the Platform, violation of these Terms or law, infringement of another person's rights, unauthorized invitations or disclosures, or inaccurate payment or distribution instructions. This obligation does not apply to the extent a claim results from YBOATS' own conduct for which indemnification is prohibited by law.

26Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where federal law or another applicable law controls. Subject to any mandatory law, the state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Platform, and each party consents to personal jurisdiction and venue in those courts.

Nothing in these Terms alters mandatory maritime law or another law that cannot be changed by agreement. Before filing a claim, the parties should attempt in good faith to resolve the matter by written notice to the contact information below.

27Changes to These Terms

We may update these Terms to reflect changes in the Platform, law, security, business practices, or third-party services. We will post the updated version with a revised effective date and provide additional notice when required by law or when changes are material. Your continued use after the effective date constitutes acceptance to the extent permitted by law. If you do not agree to updated Terms, you must stop using the Platform.

28General Terms

These Terms, the Privacy Policy, the Crew Tips Terms of Service when applicable, and any additional terms presented for a specific feature constitute the entire agreement concerning the Platform. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. A waiver must be in writing and does not waive later enforcement. You may not assign these Terms without YBOATS' written consent. YBOATS may assign them in connection with a merger, reorganization, financing, sale, transfer of assets, or operation of law, subject to applicable law. Section headings are for convenience only.
