Crew Tips Terms of Service

"Crew Tips" means the YBOATS feature described in these Terms. "YBOATS," "we," "us," and "our" mean YBOATS Management Services LLC. "Payer" means the person who authorizes a voluntary tip payment. "Pool Administrator" means the person who creates or controls a tip pool and directs its allocation. "Recipient" means a crew member designated to receive a share. "Connected Account" means an eligible Stripe account linked through Stripe Connect. "Gross Tip" means the amount authorized by the Payer before deductions. "Net Distributable Amount" means the Gross Tip minus the disclosed Stripe processing fee and YBOATS service fee. "Pool" means one identified Crew Tips collection and distribution record.

Crew Tips is initially available only for transactions in United States dollars and for Recipients who have eligible, verified Stripe Connected Accounts with payout accounts supported in the United States. You must be at least 18 years old and legally capable of entering into a binding agreement.

You must provide accurate, current, and complete information. Stripe may require identity, business, tax, or bank information. YBOATS may restrict or suspend access if eligibility cannot be verified or if required information is incomplete.

Crew Tips may be used only for bona fide, voluntary gratuities connected with legitimate yacht services. The Payer must freely determine whether to tip and the amount of the tip. Crew Tips is not a general peer to peer payment service, payroll system, remittance service, cash advance product, bank account, or stored value wallet.

Crew Tips may not be used for purchases, wages, loans, unrelated personal transfers, money laundering, sanctions evasion, fraudulent or fabricated pools, duplicate transfers, self dealing, or any transaction prohibited by law, Stripe, or these Terms.

YBOATS uses Stripe Payments and Stripe Connect to process payments, verify Connected Accounts, maintain payment balances, initiate transfers, and support payouts. Stripe is an independent service provider, and its services are governed by applicable Stripe agreements, including the Stripe Connected Account Agreement and Stripe Services Agreement.

By linking or using a Connected Account, the Recipient authorizes YBOATS and Stripe to exchange and process information necessary to provide Crew Tips. Stripe, not YBOATS, performs payment processing and Connected Account verification. Availability, timing, holds, reserves, payout schedules, and account restrictions may be controlled by Stripe and financial institutions.

Before payment, Crew Tips will display the Gross Tip and the available fee information. The final transaction record will show:

• •Gross Tip authorized by the Payer.
• •Stripe processing fee actually associated with the payment when available.
• •YBOATS service fee equal to 2 percent of the Gross Tip.
• •Net Distributable Amount after both fees.
• •Final allocation to each Recipient, including any one cent rounding adjustment.

A preliminary Stripe fee may be an estimate until Stripe makes the actual balance transaction fee available. The final distribution calculation controls. Stripe or a financial institution may impose separate fees on a Connected Account or payout that are not retained by YBOATS.

After Stripe confirms payment, the Pool may remain pending until Stripe reports the related funds as available. When funds are available, an authorized Pool Administrator may review the final allocation and initiate transfers to eligible Recipients.

Recipients who are not ready remain pending unless YBOATS provides another lawful resolution. Their shares are not automatically reallocated. A Pool is completed only when every required transfer has been recorded as sent or completed and the transferred total equals the Net Distributable Amount in integer cents.

A completed Pool is a terminal operational status. Later disputes, refunds, reversals, or balance adjustments will be recorded separately and will not change the historical fact that the original transfers were initiated.

A Payer may contact support@yboatsmanagement.com to request review of an alleged duplicate, unauthorized, or erroneous payment. Refunds are not guaranteed. YBOATS may consider the payment status, whether distributions have begun, Stripe fees, fraud indicators, and applicable law.

After distribution, funds may already have been transferred to multiple Connected Accounts. Refunding the original charge does not automatically reverse those transfers. Where permitted, YBOATS may reverse a transfer, place a temporary hold, debit an available platform or Connected Account balance, offset an amount against a later distribution, or pursue another lawful recovery method.

Chargebacks, disputes, fraud findings, negative balances, or processing corrections may delay payouts or produce reversals and adjustments. Users must cooperate with reasonable requests for records or information. Nothing in this section limits any nonwaivable rights under applicable law.

Tips may be taxable income. Each Payer, yacht operator, Pool Administrator, employer, contractor, and Recipient is responsible for determining and satisfying its own tax, payroll, employment, withholding, reporting, and recordkeeping obligations. YBOATS does not determine employment status and does not provide tax or legal advice.

YBOATS and Stripe may collect taxpayer information and issue or support information reporting when required by law. Users authorize YBOATS to maintain payment, consent, allocation, transfer, refund, dispute, and account records reasonably required for the service, compliance, support, and audit purposes.

You may not impersonate another person, use another person's bank account or payment method without authorization, manipulate allocations, split transactions to avoid review, interfere with security controls, or submit false information. You are responsible for protecting your account credentials and devices and for promptly reporting suspected unauthorized access.

YBOATS may delay, reject, review, suspend, or cancel activity that appears unauthorized, fraudulent, prohibited, inconsistent with a legitimate gratuity, or likely to create legal, financial, or security risk.

You consent to receive these Terms, disclosures, receipts, notices, and transaction records electronically. You may retain copies by downloading or printing them. You must maintain a valid email address and compatible device and software. Your electronic acceptance, including a checkbox or button accompanied by a link to the applicable terms, has the same effect as a handwritten signature to the extent permitted by law.

YBOATS processes personal information under its Privacy Policy. Stripe separately processes information under its own privacy terms. Information may include identity, contact, device, payment, Connected Account, transaction, tax, and support information. Do not include unnecessary sensitive information in Pool names, notes, or messages.

Crew Tips may be unavailable, delayed, or changed because of maintenance, third party services, legal requirements, risk controls, or circumstances outside YBOATS' reasonable control. YBOATS may modify, suspend, or discontinue all or part of Crew Tips and may impose reasonable limits to protect users, comply with law, or manage risk.

YBOATS may suspend or terminate access for breach of these Terms, suspected fraud, sanctions concerns, Stripe restrictions, legal process, nonpayment of amounts owed, or risk to the platform or others. Suspension does not eliminate obligations arising from completed or pending transactions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREW TIPS IS PROVIDED "AS IS" AND "AS AVAILABLE." YBOATS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT. YBOATS DOES NOT GUARANTEE THAT PAYMENTS, TRANSFERS, OR PAYOUTS WILL BE UNINTERRUPTED, ERROR FREE, OR COMPLETED BY A PARTICULAR TIME.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YBOATS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, OR LOSS ARISING FROM STRIPE, A FINANCIAL INSTITUTION, USER INSTRUCTIONS, UNAUTHORIZED ACCESS, OR A RECIPIENT'S FAILURE TO COMPLETE ONBOARDING.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YBOATS' TOTAL LIABILITY ARISING FROM CREW TIPS WILL NOT EXCEED THE GREATER OF THE YBOATS SERVICE FEES PAID IN CONNECTION WITH THE TRANSACTION GIVING RISE TO THE CLAIM OR 100 UNITED STATES DOLLARS. THESE LIMITATIONS DO NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED.

To the extent permitted by law, you will defend, indemnify, and hold harmless YBOATS and its officers, employees, and agents from third party claims, losses, liabilities, and reasonable costs arising from your breach of these Terms, false information, unlawful conduct, unauthorized payment or allocation instruction, employment or tax obligation, or infringement of another person's rights. This obligation does not apply to the extent a claim results from YBOATS' own unlawful conduct.

These Terms are governed by the Federal Arbitration Act and, where state law applies, the laws of the State of Florida, without regard to conflict of law principles. This choice does not deprive a consumer of protections that cannot be waived under applicable law.

YBOATS may update these Terms. The application or website will identify the current version and effective date. Material changes will be communicated as required by law. Continued use after an updated version becomes effective constitutes acceptance when permitted; YBOATS may require renewed affirmative acceptance before further use.

These Terms, the Privacy Policy, applicable fee and refund disclosures, and incorporated Stripe agreements constitute the agreement governing Crew Tips. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. A waiver must be in writing and does not waive later enforcement. You may not assign these Terms without YBOATS' consent; YBOATS may assign them in connection with a merger, reorganization, sale, or transfer of the service, subject to applicable law.
